Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, publications, newsletters, subscription products, alerts, community features, and other services provided by Ride The Leaders LLC, a Connecticut limited liability company ("Ride The Leaders," "RTL," "we," "us," or "our").

The Service includes ridetheleaders.com, letters.ridetheleaders.com, the RTL Trading Desk, subscriber communications and community features, and other content or services we may provide from time to time.

By accessing or using the Service, creating an account, starting a free trial, or purchasing or maintaining a paid subscription, you agree to these Terms and our Privacy Policy.

If you do not agree to these Terms, do not use the Service.

1. THE SERVICE

Ride The Leaders publishes financial-market research, market commentary, educational material, trading observations, watchlists, portfolio and trade commentary, price levels, charts, alerts, and related information.

The Service may include both free and paid content.

Our paid subscription product is currently known as the RTL Trading Desk.

Depending on the offering available at the time, paid features may include subscriber-only market research, portfolio and trade information, alerts and updates, entries, exits, stops, price levels, position-sizing information, watchlists, Focus Lists, Leadership Board analysis, subscriber chat, and other market or educational content.

We may change the names, formats, frequency, features, or organization of the Service over time.

2. ELIGIBILITY

You must be at least 18 years old and legally capable of entering into a binding agreement to purchase or use a paid Ride The Leaders subscription.

By using the Service, you represent that you satisfy these requirements.

3. GENERAL AND IMPERSONAL INFORMATION

Ride The Leaders provides general and impersonal financial-market commentary, research, and educational information.

Content is not prepared based on any individual subscriber's:

financial circumstances;
portfolio;
investment objectives;
age;
income;
tax situation;
liquidity needs;
risk tolerance;
time horizon; or
other personal circumstances.

Ride The Leaders does not undertake to determine whether any security, strategy, position size, trade, or investment approach is appropriate for you.

You are solely responsible for your own investment and trading decisions.

Content may discuss specific securities and may include entry prices, exits, stops, triggers, position sizes, trade setups, market conditions, portfolio activity, and circumstances under which RTL's published view or position may change.

Those materials describe RTL's research, process, published portfolio framework, or market observations. They are not instructions requiring any subscriber to make the same trade or take the same action.

Nothing in the Service constitutes legal, tax, or accounting advice.

If you need advice based on your individual circumstances, you should consult an appropriately qualified professional.

4. THE RTL BOOK AND PUBLISHED PORTFOLIO INFORMATION

The RTL Book, portfolio tables, position weights, published trades, and related portfolio information are part of Ride The Leaders' research and educational framework.

The RTL Book is a published hypothetical tracking portfolio maintained according to the trades, prices, position sizes, and rules described in the Service.

It is separate from the owner's personal brokerage or investment accounts and should not be interpreted as a representation of the exact holdings, dollar amounts, executions, tax treatment, or results of any personal account.

Published trades are recorded at the price stated in the published alert, or, where an alert states no price, at the opening price of the first full minute after it was sent, and are marked at official closing prices.

Because the RTL Book is a published tracking framework, actual results available to a subscriber could differ materially due to:

execution timing;
bid-ask spreads;
liquidity;
slippage;
commissions or other costs;
taxes;
position sizing;
market movement;
broker availability; or
other circumstances.

The RTL Book is not a recommendation that any subscriber maintain the same securities, weights, or risk exposure.

5. OWNER POSITIONS AND POTENTIAL CONFLICTS

The owner of Ride The Leaders may personally hold positions in securities discussed through the Service.

Personal positions may change over time.

Where relevant, Ride The Leaders may disclose that the owner holds or may hold a security discussed.

Such disclosures should not be understood as a commitment to provide advance notice of every transaction, change in exposure, or personal-account decision.

The existence of a personal position does not mean a security is appropriate for any subscriber.

Likewise, discussion of a security does not necessarily mean the owner personally holds it.

6. TRADING AND INVESTMENT RISK

Trading and investing involve substantial risk, including the possible loss of some or all invested capital.

Past performance does not guarantee future results.

A profitable trade, historical example, percentage gain, successful setup, favorable market reaction, or prior portfolio result discussed through Ride The Leaders should not be interpreted as an indication that the same or similar results will occur in the future.

Similarly, historical statistics, technical patterns, market relationships, breadth readings, backtests, studies, or prior reactions may fail in the future.

Market prices can move rapidly.

Any entry, exit, stop, trigger, or other price level discussed through the Service may:

never trade;
trade only briefly;
become obsolete;
gap above or below the stated level; or
execute differently from the stated price.

A stop price is not a guarantee that a transaction can or will be executed at that price.

Subscribers may experience results materially different from any published example or RTL Book result.

You assume responsibility for the risks associated with your own investment and trading decisions.

7. SUBSCRIPTIONS AND BILLING

Certain portions of the Service require a paid subscription.

Available plans and current prices are shown on the applicable subscription or checkout page.

Paid subscriptions may be offered monthly, annually, or on another recurring basis.

By purchasing a recurring subscription, you authorize the applicable subscription platform or payment processor to charge your chosen payment method according to the billing terms presented at checkout.

Unless cancelled, subscriptions renew automatically at the end of the applicable billing period.

Applicable taxes may be added where required.

You are responsible for reviewing the pricing and renewal terms presented when you subscribe.

8. FREE TRIALS AND PROMOTIONAL OFFERS

Ride The Leaders may offer free trials, discounts, introductory pricing, founding-member pricing, or other promotions.

Where a free trial automatically converts to a paid subscription:

the trial period will be disclosed when you enroll;
a valid payment method may be required;
unless you cancel before the trial expires, the subscription will automatically convert to the applicable paid plan; and
the payment method you provided will be charged according to the terms shown at signup.

Ride The Leaders may offer a 7-day free trial for eligible subscriptions.

The specific terms displayed when you enroll control if they differ from a general description in these Terms.

9. LOCKED OR FOUNDING PRICING

Ride The Leaders may offer certain subscribers locked, founding-member, grandfathered, promotional, or otherwise protected subscription pricing.

Where Ride The Leaders expressly represents that a subscriber's rate is locked or will not increase while that qualifying subscription remains continuously active, Ride The Leaders will honor that representation according to the terms under which the subscriber enrolled.

A protected rate does not necessarily apply if a subscription is cancelled, expires, lapses, materially changes plans, or is later restarted, unless Ride The Leaders expressly states otherwise.

Other subscription prices may change from time to time.

10. CANCELLATION

You may cancel a recurring subscription using the subscription-management tools provided by the platform through which you subscribed.

For subscriptions managed through Substack, cancellation is available through your Substack account or subscription settings.

Cancellation prevents future renewal charges.

Unless otherwise stated at checkout or required by law, cancelling does not ordinarily terminate access immediately. You generally retain access through the end of the period for which you have already paid.

11. REFUNDS

Monthly subscriptions. Monthly subscriptions may be cancelled at any time to prevent the next renewal. Except where required by law or expressly stated otherwise, amounts already charged for a monthly billing period are not refundable.

Annual subscriptions. For an annual subscription, you may request a pro-rata refund within 30 days of the initial annual purchase. The refund will be based on the unused portion of the applicable annual subscription period. After that 30-day period, annual subscription charges are generally nonrefundable except where required by law.

Other refunds. Ride The Leaders may issue additional refunds or credits in its discretion. Providing a refund or credit in one circumstance does not require us to provide one in another.

Nothing in this section limits any rights that cannot legally be waived.

12. ALERTS, EMAILS, POSTS, AND DELIVERY

Ride The Leaders may communicate through email, website posts, Substack, notifications, subscriber chat, or other distribution methods.

We do not guarantee that any alert, post, email, message, or notification will arrive immediately or before the market price of a security changes.

Communications may be delayed, interrupted, or unavailable because of circumstances including:

internet outages;
email filtering;
publishing-platform problems;
software failures;
market-data interruptions;
extreme market conditions;
exchange interruptions; or
other technical circumstances outside our control.

You should not rely on receiving a Ride The Leaders communication at a particular time in order to manage risk in your own account.

13. MARKET DATA AND THIRD-PARTY INFORMATION

Ride The Leaders may use or display market prices, financial information, charts, economic statistics, estimates, company information, third-party research, links, or other information obtained from outside sources.

We attempt to use sources we believe are reasonable but do not guarantee that third-party information is accurate, complete, current, or error-free.

Quotes and market data may be delayed.

You should independently verify information that is material to your investment decisions.

Links to third-party websites or services are provided for convenience and do not necessarily constitute an endorsement.

14. COMMUNITY AND SUBSCRIBER CHAT

Ride The Leaders may provide subscriber chat, comments, community areas, or similar interactive features.

Users are responsible for the content they submit.

You may not use those features to:

impersonate another person;
harass, threaten, or abuse another user;
post unlawful, defamatory, fraudulent, or intentionally misleading material;
distribute malware or malicious software;
spam or improperly solicit users;
disclose another person's private information without authorization;
falsely claim to speak on behalf of Ride The Leaders;
systematically redistribute paid Ride The Leaders content;
use the community primarily to promote securities, products, or outside services; or
materially interfere with operation of the community.

Comments made by subscribers or third parties do not necessarily represent the views of Ride The Leaders.

Ride The Leaders may moderate, remove, restrict, or disable content or accounts where reasonably necessary to enforce these Terms or protect the Service or its users.

Ride The Leaders does not undertake to monitor every message.

15. NO INDIVIDUALIZED ADVICE THROUGH CHAT, EMAIL, OR COMMENTS

Submitting a question through chat, comments, email, direct message, or another communication channel does not create an advisory, fiduciary, brokerage, client, or similar relationship.

Ride The Leaders may respond by discussing its own framework, methodology, published research, market observations, or actions.

Ride The Leaders does not undertake to tell an individual subscriber what that person should buy, sell, hold, allocate, or risk based on that subscriber's personal financial circumstances.

16. INTELLECTUAL PROPERTY

Except for third-party material, original content made available through Ride The Leaders is owned by or licensed to Ride The Leaders LLC and is protected by applicable intellectual-property laws.

This may include:

written research;
newsletters and posts;
graphics;
charts created by Ride The Leaders;
Leadership Board materials;
frameworks;
templates;
branding;
logos;
videos;
watchlists;
educational material;
subscriber-only content; and
other original works.

Ride The Leaders™ and related branding are proprietary to Ride The Leaders LLC.

Your subscription gives you a limited, personal, nonexclusive, nontransferable right to access the Service for your own individual use.

It does not transfer ownership of Ride The Leaders intellectual property to you.

17. PROHIBITED REDISTRIBUTION

Unless authorized by Ride The Leaders or permitted by applicable law, you may not:

republish paid content;
systematically forward paid newsletters;
repost subscriber-only alerts;
broadly distribute screenshots of paid content;
share paid account credentials;
sell or sublicense Ride The Leaders content;
build another commercial publication or service substantially from Ride The Leaders content;
scrape or systematically extract substantial portions of the Service; or
remove copyright or attribution notices.

Nothing in this section is intended to prohibit reasonable quotation, commentary, criticism, or other uses permitted by applicable law.

18. ACCOUNT SECURITY

You are responsible for maintaining the security of your account credentials.

You may not intentionally permit unrelated persons to share a subscription intended for individual use.

Notify us if you believe your account has been compromised.

19. CHANGES TO THE SERVICE

Ride The Leaders may modify, add, remove, rename, or discontinue aspects of the Service, including:

publication formats;
posting frequency;
publication names;
research categories;
alerts;
community features;
subscription features; and
presentation of our methodology.

This allows the Service to evolve without requiring these Terms to be rewritten every time a publication name or format changes.

Where applicable law requires notice of a material change affecting an existing paid subscription, we will provide such notice.

20. AVAILABILITY

We aim to make the Service available consistently but cannot guarantee uninterrupted operation.

The Service may become temporarily unavailable because of maintenance, third-party outages, software issues, security events, market disruptions, or other circumstances.

21. NO WARRANTIES

To the fullest extent permitted by applicable law, the Service is provided "as is" and "as available."

Ride The Leaders disclaims warranties of merchantability, fitness for a particular purpose, noninfringement, accuracy, availability, and warranties arising from course of dealing or usage of trade to the extent such warranties may legally be disclaimed.

We do not warrant that:

the Service will always be available;
every error will be corrected;
information will always be complete or current;
any trading approach will be profitable;
any security will reach a stated price; or
any subscriber will achieve a particular investment result.

Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.

22. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Ride The Leaders LLC and its owners, officers, employees, contractors, agents, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of the Service.

This includes, without limitation, damages associated with:

trading or investment losses;
lost profits;
missed opportunities;
loss of data;
interrupted access;
delayed communications;
market-data errors;
third-party platform failures; or
reliance on information provided through the Service.

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

23. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Ride The Leaders LLC and its owners, officers, employees, contractors, and agents from claims, liabilities, damages, losses, and reasonable expenses arising from:

your material violation of these Terms;
your unlawful use of the Service;
your unauthorized redistribution of Ride The Leaders content;
content you submit through community features; or
your infringement of another person's rights.

24. SUSPENSION OR TERMINATION

Ride The Leaders may suspend or terminate access to the Service where reasonably necessary because of:

nonpayment;
fraud or payment abuse;
credential sharing;
unauthorized redistribution;
abusive behavior;
unlawful activity;
material violation of these Terms; or
threats to the security or operation of the Service.

Obligations that by their nature should survive termination, including intellectual-property restrictions and applicable liability provisions, will continue to apply.

25. PRIVACY

Our collection and use of personal information are described in the Ride The Leaders Privacy Policy.

Third-party platforms used to provide the Service may also process information under their own privacy policies.

26. GOVERNING LAW AND DISPUTES

These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Subject to any rights or procedures required by applicable law, disputes arising from these Terms or the Service may be brought in a court of competent jurisdiction in Connecticut.

Nothing in these Terms deprives a consumer of rights that cannot lawfully be waived.

27. CHANGES TO THESE TERMS

Ride The Leaders may update these Terms from time to time.

When we do, we will post the updated Terms and revise the effective date.

For material changes, we may provide additional notice where appropriate or required.

Continued use of the Service after revised Terms take effect may constitute acceptance of those revised Terms to the extent permitted by applicable law.

28. SEVERABILITY

If any provision of these Terms is found invalid or unenforceable, that provision will be interpreted or limited to the minimum extent necessary, and the remaining provisions will continue in effect to the extent permitted by law.

29. NO WAIVER

Failure by Ride The Leaders to enforce any provision of these Terms does not waive the right to enforce that provision later.

30. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any purchase terms expressly incorporated into them, constitute the agreement between you and Ride The Leaders concerning the Service, except where separate written terms expressly apply.
